Internal Company Secretary and Legal Officer
About the role
Umodzi Microfinance Limited is seeking an Internal Company Secretary and Legal Officer to oversee legal, corporate governance, regulatory compliance and company secretarial matters for its regulated microfinance business in Dar es Salaam. Responsibilities: - Ensure compliance with corporate laws and regulations. - Draft, review and manage legal documents and contracts. - Maintain statutory books, including registers of members, directors and secretaries. - Prepare and file necessary documents with regulatory authorities. - Provide legal advice to management on corporate governance and legal matters. - Prepare for board meetings, including agendas, minutes and resolutions. - Liaise with external regulators and advisors. - Oversee the implementation of corporate policies and procedures. - Conduct legal research and stay updated on regulatory changes. - Handle company secretarial duties and ensure compliance with the Companies Act. - Advise the organization on industry-related legal matters, including contract law, company law and regulatory compliance. - Provide advice on policies. - Review contracts and other documentation and assist with legalisation of documents. - Provide training and guidance to employees on compliance matters. - Proactively review changes in legislation. - Act as liaison officer with external legal companies or represent the organization in court. Key requirements
- Law degree (LLB).
- Valid practising licence as an Advocate of the High Court of Tanzania.
- Knowledge of labour law, company law, corporate governance and regulatory compliance.
- Legal counsel and company secretarial expertise.
- Strong English and Swahili communication skills.
- Board governance and court proceedings knowledge.
- Legal research, contract review and document management skills.
- Proactive, self-directed, emotionally mature and detail-oriented.
